Our private equity group represents venture capital funds, mezzanine funds, SBICs, hedge funds, corporate and strategic investors, institutional investors, and angel investors. We also represent high technology and emerging growth companies in connection with their venture capital and other private equity offerings, and middle market companies undergoing leveraged buy-outs and recapitalizations.

Our representation of investor clients includes:
- Formation and administration of venture capital and mezzanine funds and SBICs, including fund structuring, assistance with the preparation of offering documents, securities law compliance, ERISA and other regulatory compliance and fund closing
- Representation of venture capital funds, insurance companies, special purpose investment vehicles, equity funds and other investors in connection with equity investments of all kinds in early, mid and late stage companies in all industry sectors, including convertible preferred stock, common stock and bridge financings
- Representation of strategic investors and the business development arms of institutional investors in connection with strategic equity and debt investments

- Representation of private equity and hedge funds in state and federal litigation as well as private arbitrations and mediations, including international arbitrations; representation of financial services companies in regulatory matters involving FINRA, the SEC, state banking departments and the Department of Justice
