Michael Fritz practices in the areas of business, corporate and commercial real estate.

Michael’s business and corporate practice consists of representing private equity funds, venture capital funds, and other business entities in connection with a variety of commercial transactions, including, financings, mergers, acquisitions and dispositions, joint ventures, preferred equity investments, distressed investments and private placements. Additionally, Michael represents healthcare systems and providers in various different business combinations, including affiliations, mergers & acquisitions and joint ventures. Michael also represents clients in the capacity as "outside general counsel", advising on matters such as business formation, corporate governance, business operations, commercial contracting and other general corporate matters. His clients are in a broad range of industries including real estate, healthcare, technology, financial services and manufacturing.

Michael’s commercial real estate practice focuses on transactional commercial real estate matters, including the purchase, development and disposition of real estate assets, mortgage and mezzanine financings, preferred equity investments, and the formation of joint ventures. In particular, Michael has significant experience structuring and negotiating joint ventures for single asset developments and programmatic real estate investment strategies. Michael also has experience representing borrowers and lenders in connection with working out and restructuring distressed real estate loans and investments.

$450 Million Joint Venture to Acquire Fee Interest in the "Lipstick Building"

Represent affiliates of Ceruzzi Holdings and Shanghai Municipal Investment in a joint venture to acquire fee interest in 885 Third Avenue (the “Lipstick Building”). The transaction was a $450 million +- complex debt and equity structure and involved advice relating to unique ground lease and fee issues as well as multi-tier entity ownership structure.

Successful Affiliation of Two Major Healthcare Organizations

A team of Shipman & Goodwin attorneys, led by Joan Feldman, assisted Lawrence + Memorial Hospital in the negotiation of its affiliation with Yale New Haven Health, and jointly represented both L+M Corporation and Yale New Haven Health in obtaining all the needed regulatory approvals from the State of Connecticut to complete the transaction, including certificate of need approval from the Office of Health Care Access for the system affiliation and the combination of the affiliated medical foundation. The affiliation process extended over an eighteen-month period with many complex regulatory hurdles, along with coordinated corporate, transactional, labor and employment, and environmental legal counsel.
