Trowers & Hamlins attorneys, William Clements, Andrew Sneddon, Ayda Habboush and Tom Barton will be joined by Kent Nevins, Lisa Zana, Michael Fritz and David Bigger of the US firm, Shipman & Goodwin LLP for a complimentary webinar addressing cross-border real estate transactions in the US. This program, the second of a two-part cross-border transaction series of joint webinars will provide an overview of current trends in the US real estate market and discuss how tax-efficient acquisition structures may be achieved.
Panelists will consider the practical differences (and similarities) between the US and UK in terms of investment structures, acquisition and leasing transactions. The panel of US and UK lawyers will seek to inform and demystify, by drawing comparison between the two jurisdictions. Attendees will have the opportunity to ask questions of panelists during the webinar.
Topics will include:
• Current trends across US real estate asset classes
• Basic tax considerations on acquisitions, including tax-efficient holding structures and the use of debt to mitigate tax liabilities
• Equity investment considerations including structures
• Management rights, capital contributions, fees, distribution waterfalls and exit rights and strategies
• Real estate leasing transactions in the US as compared to the UK, looked at from the point of view of investors and occupiers alike.
Glenn Cunningham, Shipman & Goodwin Partner and Chair of the Board of Directors of Interlaw, will provide an introduction to the program and briefly discuss how the Interlaw relationship enables collaboration between a global network of member firms to offer clients high quality legal advice via a single point of contact.
Continuing Legal Education (CLE)
