Danielle McGrath Braun practices in the area of public finance and municipal law. She represents a number of Connecticut municipalities and taxing districts in the role of bond counsel, where she assists her clients in all facets of general obligation and refunding bond issuances.  Danielle has experience drafting bond resolutions and attending public meetings, analyzing tax issues related to bond and note issues, and drafting financing and closing documents. Danielle works closely with elected officials and finance officers to ensure that they understand the municipality’s obligations at the time of closing and have policies and procedures in place to effectively monitor the use of bond-financed projects and comply with continuing disclosure obligations.

Danielle also serves as underwriter’s counsel where she conducts due diligence, drafts bond purchase contracts, and prepares closing documents.

Other significant experience includes Clean Water Fund financing, where Danielle represents municipalities and taxing districts with their participation in the State of Connecticut’s Clean Water Fund Program. In this role, she drafts authorizing resolutions, attends public meetings, drafts closing documents, and works with the State of Connecticut’s Treasurer’s office to coordinate closing. Danielle has also assisted municipalities with all facets of Charter revision, including attending Commission meetings, answering Commission legal questions regarding various available options, conducting legal research, and drafting Charter provisions, ballot questions and explanatory text for Commission consideration.

Within the independent and public school sector, Danielle assists with a wide variety of RFPs and contractual matters.  She has experience drafting and negotiating a range of service contracts, including transportation and food service contracts, facility use agreements, and lease purchase agreements.  Danielle works closely with superintendents and school business officials during the drafting and negotiation process in order to identify the specific needs of the school and its community, the detailed nature of the contracted service, and the unique risks involved.  She then uses this information to draft a contract tailored to each individual relationship, with the goal of minimizing risk to the school. She also provides tailored trainings on contract and RFP best practices to school business officials.

Bond Counsel to City of Norwalk

In September 2020, the firm represented the City of Norwalk in connection with its issuance of $42,000,000 General Obligation Bonds, Issue of 2020, Series B, $52,965,000 General Obligation Refunding Bonds, Issue of 2020, Series C (Federally Taxable) and $20,000,000 General Obligation Bonds, Issue of 2020, Series D.

Bond Counsel to Connecticut Green Bank

The firm served as bond counsel to the Connecticut Green Bank on its $16,795,000 State Supported Solar Home Renewable Energy Credit Green Liberty Bonds (Climate Bond Certified) issued in July 2020.  The Bond issue received the Bond Buyer’s award for innovation in public finance for calendar year 2020.  The Bond proceeds were used to support financing for solar energy systems for Connecticut households installed in 2019. The Connecticut Green Bank’s mission is to confront climate change and provide all of society a healthier and more prosperous future by increasing and accelerating the flow of private capital into markets that energize the green economy.

Bond Counsel to Town of West Hartford

The firm served as bond counsel to the Town of West Hartford in April 2020 on its $4,625,000 General Obligation Refunding Bonds, Series 2020B which were sold on a delayed delivery basis.

Taxable and Tax-Exempt General Obligation Bonds for City of New Britain

In August 2020, the firm represented the City of New Britain in connection with its issuance of Tax-Exempt General Obligation Refunding Bonds, 2020 Series A and Taxable General Obligation Refunding Bonds, 2020 Series B. The City refunded certain maturities of its outstanding general obligation bonds
