Alternative Investments for Major Insurance Company

Represent major insurance company in numerous matters involving structuring dedicated investment vehicles for special asset classes and participating as a limited partner or member in investment funds with varied investment objectives, including channel finance, credit default obligations, health care, low-income housing and historic rehabilitation tax credits, real estate, middle market mezzanine finance and venture capital finance with respect to hundreds of millions of dollars in investment in both domestic and offshore funds.  Representation includes assisting the client in addressing issues related to unrelated business taxable income, the investment of ERISA plan assets, carried interest and clawback provisions related to general partners, and key person events permitting suspension of investments and/or termination of the fund.
