Handled $65,000,000 structured financing for Stanadyne, a worldwide designer and manufacturer of fuel filtration systems, fuel pumps, fuel injectors and valve train components, with almost $300 million in annual sales and an Exchange Act reporting company, with facilities in Connecticut, North Carolina, Florida, France, Italy, India and Brazil.

$60,000,000 Purchase of Energy Company

Represented RAD Energy Corporation in their purchase by Sprague Energy Corporation, a wholly owned subsidiary of Axel Johnson, for $60,000,000. Counsel included the confidentiality agreement, letter of intent and drafting of all purchase documents. Represented the client before the corporate financier, a boutique investment bank.

RAD Energy Corporation is one of the largest independent commercial motor fuel marketers in the nation, suppling gasoline, kerosene, alternative fuels (natural gas, methanol, ethanol, biodiesel), heating, marine, and aviation fuels throughout the Northeastern United States.
