Michael Cummings practices primarily in the areas of securities and corporate law. Mike advises private investment funds and investment advisers on a broad array of issues, including regulatory compliance, fund structuring and ongoing operations. He works extensively with non-U.S. investment firms located throughout Europe, Asia and Australia on U.S. securities and compliance matters. Mike also assists investors and companies in connection with the preparation and filing of SEC periodic reports and disclosures. In addition to his securities practice, Mike represents clients in a variety of corporate matters, including reorganizations, mergers, acquisitions and dispositions, debt and equity financings, venture capital transactions, corporate governance and joint ventures. He also has experience representing commercial banks and mezzanine lenders in various financing transactions.

Prior to joining the firm, Mike served as a law clerk to the Honorable Stuart D. Bear of the Connecticut Appellate Court and to the judges of the Complex Litigation Docket of the Connecticut Superior Court. During law school, he served as a judicial intern to the Honorable Vanessa L. Bryant of the U.S. District Court for the District of Connecticut.
