Representation included the negotiations and review of entering into the Purchase and Sale Agreement with the Seller, performed due diligence and title, negotiated financing with New York Bank for the acquisition of the Property and Loan Agreement for upgrades and renovations to the Property. We also handled negotiations of construction contract with contractor for the renovations, negotiations of architect’s contract, review and negotiations of franchise agreement, review, negotiations and finalization of Hotel Management Contract and negotiations of amendments to Loan Agreements with the mortgage Lender.
